Draft — requires attorney review
This document has not been reviewed by a lawyer and is not in force. It is published so that what we intend to agree to is visible while it is being drafted properly. Several sections are marked as open questions for counsel. Do not rely on it.
1. What WhoIPick is
WhoIPick is a marketplace where a person who needs work done (a seeker) posts a description of that work, and businesses who do that work (providers) submit competing offers. The seeker compares those offers and may choose one.
WhoIPick is not a party to any agreement a seeker makes with a provider. We do not perform the work, we do not supervise it, we do not set its price, and we do not guarantee that it will be done. We provide the place where the offers are made and compared. Everything that follows from that comparison is between the two of you.
2. Accounts
You must be at least 18 and able to enter a binding contract. You are responsible for what happens under your account and for keeping your credentials to yourself. Tell us at support@whoipick.com if you believe someone else is using it.
One account per business. A brokerage or company account may add seats where the plan allows; each person on a seat is bound by these terms.
3. Posting a request
Posting is free for seekers, and it always will be — posting a request, comparing offers, messaging providers, and hiring are free and always will be. There is no seeker tier to upgrade to.
When you post a request you agree that:
- the work described is work you actually intend to have done;
- the description is accurate as far as you know it, because providers price from it;
- providers matching the category and within range can see it, along with the details you chose to include; and
- you may close it, let the bidding window expire, or hire nobody, with no obligation and no charge.
We show seekers by first name and last initial. Your full name, email address and phone number are not published with a request.
4. Bidding
A bid is an offer from a provider to a seeker. It consists of a price — which may be a flat amount, an hourly rate with an estimate, a commission percentage, or a quote-on-inspection with a stated minimum and maximum — together with any line items the provider chooses to include or offer as an add-on.
Bidding works like this:
- Any provider who is qualified for the category and within range may bid. We do not select a shortlist and we do not restrict who is allowed to compete.
- The bidding window stays open for a period stated on each request, and the two of you may negotiate and revise within it.
- A bid is binding on the provider as an offer for the period the provider states, and becomes an agreement only if the seeker accepts it.
- Choosing a bid creates an agreement between the seeker and that provider. It does not create one with us.
4.1 Line items fulfilled by third parties
Providers assemble bundles from their own partner networks — a stager, a moving company, a cleaning crew. Where a line item is performed by someone other than the provider, the bid must say so and must name the business. That provider remains responsible to the seeker for the whole bundle they offered. WhoIPick has no relationship with those partners and no responsibility for their work.
5. Providers are independent
Providers are independent businesses. They are not our employees, our agents, our partners, or our subcontractors, and nothing on this site makes them so. They set their own prices, choose which requests to bid on, decide how work is performed, and are responsible for their own licensing, insurance, taxes, employees and equipment.
Verification badges, once offered, will describe what we checked — not what we vouch for. No verification is running today. When it is, a badge will mean a document was presented to us and appeared to be what it claimed to be at the time. It is not a warranty of competence, of current insurance, or of good standing, and it is not a substitute for the checks you would ordinarily make before hiring somebody.
6. Real estate services
WhoIPick, Inc. is not a real estate brokerage and does not provide brokerage services, legal advice, or advice about the value of a property. Real estate commissions are fully negotiable and are not set by us, by any association, or by any law. A listing agent who bids on this site is acting on their own behalf and under their own licence and brokerage.
7. Ranking, leaderboards and sponsored placement
Category leaderboards are ranked by an algorithm that blends completed jobs, rating quality weighted by review volume, response speed, bid win rate, recency of activity and verification level. The weights change as we learn what predicts a good outcome.
Rank is not for sale. Featured placement is a separate paid product. It is always labelled as sponsored, it is always visually distinct from earned rank, and it never moves a provider up the ranked list. Paying us more cannot improve your position in a leaderboard.
8. Reviews
Our review policy exists to keep reviews worth reading:
- Reviews are two-way. A seeker may review a provider and a provider may review a seeker.
- A review may only be left after both parties have marked the job complete, so a review always corresponds to work that actually happened.
- Every score is displayed with the number of reviews behind it. A 5.0 from three jobs is not presented as though it were a 4.8 from three hundred.
- A provider may respond publicly to a review. Neither party can delete the other's.
- We do not remove a review because it is negative, and we do not sell removal or suppression at any price. We remove reviews that are unlawful, contain personal information about someone else, are not about a real job, or were solicited in exchange for payment or a discount.
- Offering anything of value in exchange for a review, or leaving a review of your own business, is grounds for removing an account.
9. Fees
Seekers pay nothing. Posting a request, comparing offers, messaging providers, and hiring are free and always will be. There is no seeker tier to upgrade to.
Providers may use a free tier or subscribe to a paid plan. The launch paid tier is Starter, at $19.99 a month at the time of writing; current prices are always on the pricing page and that page is the authoritative one. Subscriptions renew automatically for the period you chose until you cancel, and you can cancel at any time with effect from the end of the period you have paid for.
We may change prices. If we change the price of a plan you are on, we will tell you before the change takes effect on your subscription, and you may cancel rather than accept it.
10. Credits
Credits are a prepaid balance that pays for features inside WhoIPick — extra bids, boosts, featured placement and lead unlocks. They are a way of paying us for our own services and nothing else.
Credits are non-refundable and have no cash value. They can be spent on WhoIPick features only. Buy what you expect to use. Credits cannot be exchanged for money, transferred to another account, or used anywhere outside this product, and they are not a deposit, a security, an investment, or a currency.
11. What you may not do
- Post a request for work you do not intend to have done.
- Bid without the intention or the ability to perform.
- Misrepresent your identity, your business, your licensing, or your insurance.
- Scrape, crawl beyond our published rules, or resell data from the marketplace.
- Use the messaging system to advertise something other than the request at hand.
- Discriminate against a seeker or a provider on any basis protected by federal, Illinois or local law. Fair housing rules apply to real estate listings on this site.
- Interfere with the ranking system, or create accounts to influence it.
12. Your content
You keep ownership of what you post. You give us a non-exclusive, worldwide, royalty-free licence to host, display and distribute it for the purpose of operating and promoting the marketplace — showing your request to matching providers, showing a provider's portfolio on their profile, and showing reviews on the pages where they belong. That licence ends when you delete the content, except for copies in backups and for reviews, which stay attached to the job they describe.
13. Availability
We do not promise that the site will be available without interruption, that a request will attract any bids, or that any bid will be one you want. We open categories and areas gradually and may close one.
14. Disclaimers and liability
The service is provided as it is. To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. Nothing here excludes liability that cannot lawfully be excluded.
15. Ending it
You may close your account at any time. We may suspend or close an account that breaches these terms, and we will say why unless doing so would be unlawful or would compromise an investigation. Sections that by their nature should survive — content licence, credits, disclaimers, and anything counsel adds under section 14 — survive termination.
16. Changes
We will post changes here with a new date at the top. For a change that materially affects your rights, we will tell account holders before it takes effect.
